BEWI becomes sole owner of Jablite Group

UK: Norway-based BEWI has acquired an additional 51% stake in Jablite Group for around Euro12m making it the sole owner. It previously purchased a 49% stake in the expanded polystyrene (EPS) insulation products producer and civil engineering provider in June 2020. At the time Jablite initiated a restructuring programme due the negative effects of the coronavirus pandemic and resulting lockdowns. As part of the programme it also closed two of its facilities.

The current management of Jablite, including managing director Richard Lee and finance director John Cooper, will continue in their roles going forward. Rik Dobbelaere, a previous chief executive officer (CEO) of Synbra Holding and BEWi Synbra Group, and director of the board of BEWI ASA, has been director of the board of Jablite since BEWI’s acquisition of the 49% stake in 2020.

“We are very pleased to now be able to include Jablite fully to our team. The company has shown an impressive development the last two years, and we look forward to further strengthen our market position in the UK together going forward,” said Christian Bekken, CEO of BEWI. He added that Jablite’s operations would complement the UK-based operations of Jackon well and that synergies were expected by combining the two companies once the acquisition Jackon transaction is completed. BEWI started to buy the Norway-based supplier of insulation and construction systems in late 2021.

BEWI is an international provider of packaging, components and insulation products.

Recticel considering sale of engineered foams unit to Carpenter amid offer by Greiner for full takeover

Belgium: Plastics producer Greiner has offered to fully acquire Recticel for Euro1.17bn, including debt. Austria-based Greiner currently holds a 27% stake in the company. The group has valued Recticel’s insulation business at Euro411m. However, Recticel has said that the offer undervalues the division. US-based foam and fibres producer Carpenter previously valued the insulation business at Euro656m in its on-going bid to acquire the company’s engineered foams unit.

Recticel has until 17 December 2021 to issue its decision on the Greiner offer. Before then, it will decide on the possible sale of its engineered foams unit to Carpenter at an extraordinary general meeting. It is currently carrying out due diligence checks for the latter deal.

Bewi to acquire remaining 50% of Jackon Holding

22 October 2021

Norway: Bewi’s shareholders have voted in favour of the company’s acquisition of the remaining 50% of Jackon Holding in order to become sole owner. Bewi will hold an extraordinary general meeting following the completion of due diligence checks to authorise the issuance of Bewi shares as consideration for the deal to Jackon Holdings’ controlling shareholder Haas.

Rockfon partners with Akuart for acoustic products design

Denmark: Rockwool’s stone wool ceiling and wall products subsidiary Rockfon has partnered with designer Akuart to develop acoustic products. The producer says that the partnership combines the strengths of both companies in design, innovation and manufacturing to deliver more value for the end customer. Rockwool has also acquired a minority stake in Akuart to further strengthen the relationship.

Rockfon Europe and Asia managing director Parik Chopra, “Akuart is a strong Danish brand with skilled people, high quality design and products that fit any interior space. With this partnership, Rockfon expands its footprint into designing and manufacturing functional and aesthetic acoustic solutions that can improve the wellbeing of people in offices, schools, hospitals, and leisure venues across Europe.”

Kingspan buys majority stake in Isoeste

Brazil: Kingspan has acquired a 51% stake of Isoeste Construtivos Isotérmicos (Isoeste). Isoeste, an insulated panel manufacturer, operates from four production sites with approximately 630 employees. No amount for the transaction has been disclosed.

"We are delighted to create this partnership with the founders of Isoeste, the number one player in Brazil's insulated panels market. Together with our recent investments in Colombia and Mexico, this acquisition firmly places Kingspan in a market leading position across Latin America, with a strong platform for further expansion in the region," said Gene Murtagh, Kingspan’s chief executive officer (CEO).

Huntsman Acquires Stake in Japanese Spray Polyurethane Foam Insulation Company

US/Japan: Huntsman Corporation has announced that it has acquired a 20% stake in Nippon Aqua, a spray polyurethane foam (SPF) insulation company based in Yokohama, Japan. The chemical manufacturer has entered into a ten-year supply agreement with the company. The financial terms of the deal were not disclosed.

Nippon Aqua is the SPF market leader in Japan, with business operations in over 30 locations across the country, and is a subsidiary of leading residential home builder Hinokiya Holdings. Huntsman supplies various advanced MDI-based polyurethanes systems to Nippon Aqua.

"Following the regrettable accident at the Fukushima Daiichi nuclear plant in 2011, there's a great focus on how the country will source its energy needs and a growing demand amongst consumers for more effective insulation. Nippon Aqua is well-positioned to satisfy this demand," said Huntsman's president of its polyurethanes division, Anthony P Hankins.
